Terms of Service

Introduction

These Terms of Service (“Terms”) govern your use of all websites, applications, software, and other products and services operated by Freebuff, Inc. (“Company”, “we”, “our”, or “us”), including Codebuff and Freebuff CLI, Freebuff Web, Freebuff Cloud, Freebuff Chat, and Freebuff Desktop (collectively, “Service”). Our Privacy Policy explains how we collect, use, retain, and disclose information.

By accessing or using Service, you agree to these Terms. If you do not agree or cannot comply, you may not use Service. Questions may be sent to support@codebuff.com.

Communications

We may send you transactional or service-related communications. Subject to your choices and applicable law, we may also send marketing or promotional communications. You may opt out of marketing communications by following the unsubscribe link or by emailing support@codebuff.com.

Payments

If we offer a paid product or service, you agree to provide accurate information and pay the fees disclosed at the time of purchase. We may use third-party payment processors, subject to our Privacy Policy, and may refuse or cancel a transaction if fraud or unauthorized or illegal activity is suspected. You may not circumvent payment or eligibility requirements by fraudulently exploiting discounts, promotions, referrals, regional pricing, or eligibility programs. You remain responsible for any resulting amounts owed.

Subscriptions

We may offer paid subscription plans that add session capacity on top of the free service. Plans renew monthly at the price shown at purchase; a discounted first month, where offered, applies once per account. Payments are processed by our third-party payment processor.

Each plan carries usage limits, which include daily, rolling five-day, and monthly session limits, per-model limits, and a monthly compute (dollar-cost) ceiling. Current limits are stated on the plan management page in your account settings at the time of purchase. When a limit is reached, plan sessions pause until the relevant window resets; free sessions are unaffected. Certain models may be unavailable during peak-demand hours.

All plan limits, prices, and included models are subject to change. Changes to recurring prices take effect at your next renewal; we may adjust usage limits and model availability at any time to reflect provider capacity and cost. Material changes will be reflected on the plan management page.

You may cancel at any time from your account settings. Cancellation takes effect immediately and no prorated refund is provided for the remainder of the current billing period. Downgrades take effect at the next renewal. Initiating a payment dispute or chargeback for inference that has already been consumed may result in immediate termination of the subscription and suspension of the account.

Free Access and Human Use

Our free usage limits and model eligibility are intended to apply to each person, not to each account. Free access may be supported by advertising and is provided for individual, human-directed use through the normal interfaces and intended functionality of our products. Unless we give you written permission, you may not:

  • Create, control, or operate more than one Freebuff account. One Freebuff account may be used across our products.
  • Access free AI model inference except through normal use of an official Company product that offers it. You may not call the underlying servers or endpoints directly or through scripts, custom clients, wrappers, integrations, or third-party software.
  • Use a bot, script, macro, headless browser, autonomous agent, or similar automation to operate our products or submit requests. A human must initiate each session and remain actively present while it runs. Automation performed by our products after a human starts a session is allowed.
  • Hide, spoof, or misrepresent your actual country or location, including by using a proxy, VPN, relay, or similar service to make your traffic appear to come from another country, in order to obtain models, features, limits, pricing, or eligibility that are not available in your actual location.

Content

“Content” means prompts, messages, code, files, repository data, images, feedback, and other material you submit to or create using Service. You are responsible for your Content and represent that you have the rights needed to submit it and permit us to process it as described in these Terms and our Privacy Policy.

Connecting a GitHub repository to Freebuff Cloud authorizes Codebase Evaluation only of code, files, and other content in that connected repository.

Using a model or feature labeled “May use data for AI training” authorizes Codebase Evaluation of code, files, and repository context submitted to or generated through a model or feature labeled “May use data for AI training”.

Agent traces are eligible for Codebase Evaluation only when they are submitted to or generated through a model or feature labeled “May use data for AI training”; connecting a GitHub repository to Freebuff Cloud does not by itself make agent traces eligible.

You retain your rights in Content you submit. As between you and Company, and to the extent permitted by applicable law, you own the output you create using Service, including generated code, text, and assets, whether you use a free or paid plan. Company does not claim ownership of that output. AI output may not be unique, and other users may receive similar output.

You grant Company a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, modify, and otherwise process your Content only as reasonably necessary to provide, maintain, develop, evaluate, improve, secure, and support Service; comply with law and enforce these Terms; and make the advertising, limited Codebase Evaluation, or clearly disclosed AI-training and related development uses described in our Privacy Policy. This license permits Company to use service providers for those purposes. Restricted evaluation partners may process, solely for the limited Codebase Evaluation described in our Privacy Policy: (1) code, files, and other content in a GitHub repository connected to Freebuff Cloud; or (2) code, files, and repository context, together with related agent traces, when that information is submitted to or generated through a model or feature labeled “May use data for AI training”. They may not process that information for advertising, AI training, or any other general Service purpose identified in this paragraph. We will publicly display or make your Content available to other users only when you intentionally use a sharing or publishing feature. After Content is deleted, this license continues only for backups; legal, security, and compliance needs; derived advertising interests; derived Codebase Evaluation results that do not contain raw source code or agent traces; deidentified or aggregated analytics and evaluations; data retained under a clearly disclosed AI-training use; and Content others retain through a sharing or publishing feature, as described in our Privacy Policy.

Neither we nor our Codebase Evaluation partners retain raw source code or agent traces solely for Codebase Evaluation after we complete an account-deletion request or a verified privacy request to delete that data. Disconnecting GitHub, removing Freebuff’s repository access, or selecting “Delete project” in Freebuff Cloud do not by themselves delete data already collected.

Content provided by Company, excluding user Content and output, is owned by Company or its licensors. You may not use it beyond the permissions granted by Service without our written permission. Nothing in these Terms limits rights granted under an applicable open-source license or in our published documentation for an SDK, API, or other developer tool.

AI Output and Actions

AI output may be false, insecure, incomplete, or infringing. It may introduce vulnerabilities, delete or corrupt data, execute commands, or interact with external systems. Malicious repository content or prompt injection may affect output or actions. Keep backups, test and review output, and maintain human supervision. Output is not legal, medical, financial, or other professional advice.

Prohibited Uses

You may use Service only for lawful purposes and in accordance with Terms. You agree not to:

  • Violate any applicable law or regulation.
  • Exploit, harm, or attempt to exploit or harm minors.
  • Send spam or other unauthorized promotions.
  • Impersonate Company or another person or entity.
  • Infringe another person's rights.
  • Use Service for fraud, threats, or other harmful activity.
  • Restrict another person's use of Service or harm Service or its users.
  • Disable, overburden, damage, or impair Service, or interfere with another person's use of Service.
  • Scrape, monitor, or copy material from Service through automated means without our written consent.
  • Use any device, software, or routine that interferes with Service.
  • Introduce viruses or other malicious or technologically harmful material.
  • Gain unauthorized access to, interfere with, damage, or disrupt Service or connected systems.
  • Attack Service through a denial-of-service attack.
  • Reverse engineer, decompile, disassemble, or derive Service's source code or underlying components, except where law permits.
  • Access, extract, expose, or distribute non-public information belonging to Company or its providers, including system prompts, proprietary source code, access credentials, or other confidential information.

No Use By Minors

Service is intended only for individuals who are at least eighteen (18) years old. By accessing or using Service, you represent that you are at least 18 and have the authority and capacity to agree to these Terms.

Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Intellectual Property

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Freebuff, Inc. and its licensors. Service is protected by copyright, trademark, and other laws of the United States. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Freebuff, Inc. This section is subject to the open-source and developer-tool permissions described under Content.

Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity. If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to support@codebuff.com, with the subject line: “Copyright Infringement” and include in your claim a detailed description of the alleged Infringement as detailed below, under “DMCA Notice and Procedure for Copyright Infringement Claims” You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims on the infringement of any Content found on and/or through Service on your copyright.

DMCA Notice and Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail): an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest; a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work; identification of the URL or other specific location on Service where the material that you claim is infringing is located; your address, telephone number, and email address; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. Error Reporting and Feedback

You may send error reports, suggestions, ideas, or other feedback (“Feedback”) to support@codebuff.com. Do not include confidential or proprietary information in Feedback. You grant Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, and sublicensable license to use, modify, publish, and commercialize Feedback without restriction or compensation to you.

Links To Other Web Sites

Our Service may contain links to third party web sites or services that are not owned or controlled by Freebuff, Inc. Freebuff, Inc. has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites. YOU ACKNOWLEDGE AND AGREE THAT FREEBUFF, INC. SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD PARTY WEB SITES OR SERVICES. WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY THIRD PARTY WEB SITES OR SERVICES THAT YOU VISIT.

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, agents, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees to the extent caused by: Content that violates law or another person's rights; your unlawful or unauthorized misuse of Service; or your material breach of these Terms.

Disclaimer Of Warranty

THESE SERVICES ARE PROVIDED BY COMPANY ON AN “AS IS” AND “AS AVAILABLE” BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK. NEITHER COMPANY NOR ANY PERSON ASSOCIATED WITH COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER COMPANY NOR ANYONE ASSOCIATED WITH COMPANY REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. Limitation Of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR SERVICE INTERRUPTION, UNDER ANY LEGAL THEORY, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID COMPANY FOR SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

Termination

We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms. If you wish to terminate your account, you may simply discontinue using Service. All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Governing Law and Venue

These Terms shall be governed and construed in accordance with the laws of State of Delaware without regard to its conflict of law provisions. Except where applicable law requires otherwise, the state and federal courts located in San Francisco County, California have exclusive jurisdiction and venue over disputes arising from Service or these Terms, and you consent to those courts. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding Service.

Changes To Service

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, including registered users.

Amendments To Terms

We may update these Terms from time to time. We will post the updated Terms and revise the date at the top. We will provide advance notice when required by law or when a change materially affects your rights. Updated Terms take effect on the stated effective date. If you continue to use the Service after that date, you agree to the updated Terms. If you do not agree, stop using the Service.

Waiver And Severability

No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision. If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
